1. Agreement to Terms

By accessing and using Menteeo (the "Platform"), you accept and agree to be bound by the terms and provisions of this agreement (the "Terms"). If you do not agree to abide by these Terms, please do not use the Platform.

1A. Definitions

For purposes of these Terms, the following capitalized terms have the meanings set forth below:

  • "Platform" means the Menteeo website, mobile applications, and online services.
  • "Services" means all features, functionality, tools, content, and communications capabilities offered through the Platform.
  • "Content" means all text, graphics, data, links, files, and other materials made available on or through the Platform, including materials provided by Menteeo.
  • "User Content" means any Content that a Member creates, uploads, posts, transmits, or otherwise submits to the Platform.
  • "Member" means any individual or entity who registers for or uses the Platform.
  • "Mentor" means a Member who offers mentorship, advisory, or professional guidance through the Platform.
  • "Mentee" means a Member who seeks or receives mentorship, advisory, or professional guidance through the Platform.
  • "Organization" means any business, agency, firm, company, or corporate entity that registers for or uses the Platform, including through shared corporate team profiles.
2. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on Menteeo for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Modify or copy the materials
  • Use the materials for any commercial purpose or for any public display
  • Attempt to decompile or reverse engineer any software contained on the Platform
  • Remove any copyright or other proprietary notations from the materials
  • Transfer the materials to another person or "mirror" the materials on any other server
  • Violate any applicable laws or regulations
3. Disclaimer

To the fullest extent permitted by applicable law, the materials on Menteeo are provided on an 'as is' basis. Menteeo makes no warranties, expressed or implied, and, to the fullest extent permitted by applicable law, hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

4. Limitations

To the fullest extent permitted by applicable law, in no event shall Menteeo or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Menteeo, even if Menteeo or an authorized representative has been notified orally or in writing of the possibility of such damage.

5. Accuracy of Materials

The materials appearing on Menteeo could include technical, typographical, or photographic errors. Menteeo does not warrant that any of the materials on its Platform are accurate, complete, or current. Menteeo may make changes to the materials contained on the Platform at any time without notice.

6. Links

Menteeo has not reviewed all of the sites linked to its Platform and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Menteeo of the site. Use of any such linked website is at the user's own risk.

7. Modifications

Menteeo may revise these terms of use for the Platform at any time without notice. By using this Platform, you are agreeing to be bound by the then current version of these terms of use.

8. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the United States, and you irrevocably submit to the exclusive jurisdiction of the courts in that location.

9. User Conduct

You agree not to post, transmit, or distribute any content that:

  • Is unlawful or promotes illegal activities
  • Is defamatory, abusive, obscene, or vulgar
  • Infringes on intellectual property rights
  • Violates any person's right to privacy
  • Constitutes spam or unsolicited communications
  • Contains malware or harmful code
10. Account Responsibility

You are responsible for maintaining the confidentiality of your account information and password. You agree to accept responsibility for all activities that occur under your account. You agree to notify Menteeo immediately of any unauthorized use of your account.

11. Transaction Protection Policy

Menteeo is built to foster authentic, long-lasting entrepreneurial relationships. We actively encourage mentors and mentees to connect, communicate, and network freely outside of our platform.

To keep this ecosystem sustainable and protect our users, we require that all financial transactions for mentorship services initiated on Menteeo must be processed through the platform's secure checkout.

Bypassing the checkout to handle payments via cash, Venmo, or alternative off-platform billing methods voids all platform session insurance, dispute protections, and automated tax reporting. Repeated or intentional transaction circumvention may, in Menteeo's sole discretion, result in account suspension.

12. Nature of the Platform & Independent Contractors

Menteeo is strictly a communications marketplace platform that facilitates connections between mentors and mentees. Menteeo is not an advisory firm, employment agency, brokerage, fiduciary, or professional services provider. Menteeo does not provide advisory, financial, legal, medical, psychological, or other professional services through the Platform.

All mentors listed on Menteeo are independent contractors, not employees, agents, partners, or representatives of Menteeo. Menteeo does not control, direct, or supervise the content or delivery of any mentor's advice, and does not guarantee the quality, accuracy, or outcome of any mentoring session. Any relationship or engagement between a mentee and a mentor is solely between those two parties.

12A. Session Booking

Menteeo facilitates connections between mentors and mentees. We do not employ mentors or guarantee employment outcomes. To the fullest extent permitted by applicable law, we are not responsible for the quality, reliability, or results of any mentorship arrangement. All terms between mentors and mentees are their own responsibility.

13. Assumption of Risk & Indemnification

You acknowledge that any advice, guidance, information, or content provided by mentors through Menteeo is used by you entirely at your own risk. You are solely responsible for any decisions you make or actions you take based on such advice, and you agree that Menteeo is not responsible for any professional or personal outcomes, results, losses, or damages arising from your use of the Platform or reliance on a mentor's advice.

To the fullest extent permitted by law, you hereby waive any right to hold Menteeo, its officers, directors, employees, or affiliates liable for any claims, damages, losses, or expenses of any kind arising out of or relating to your use of the Platform, your interactions with mentors or mentees, or any advice or services obtained through the Platform.

You agree to indemnify, defend, and hold harmless Menteeo and its affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Platform, your violation of these Terms, your violation of any law or the rights of a third party, or your interactions with other users.

14. Strict Anti-Spam Policy (Politics and Religion)

Menteeo is a professional, mission-oriented network dedicated strictly to business growth, professional advisory, and startup mentorship. We enforce a zero-tolerance policy against spamming, soliciting, or proselytizing regarding political or religious topics.

Using platform messaging, public profiles, or live video rooms to promote political agendas, campaign for candidates, distribute ideological materials, or engage in religious solicitation is strictly prohibited.

Permitted Exceptions for Civic & Business Growth:

This policy does not restrict or prohibit the sharing of standard, non-partisan economic development milestones. Users are fully permitted to publish and celebrate:

  • Official recognition, awards, or certifications from Chambers of Commerce and trade associations.
  • Photographs and announcements featuring local public officials at official business openings, ribbon-cuttings, or facility expansions.
  • Formal public-private partnerships (PPPs) or civic initiatives specifically designed to foster regional business growth and job creation.

Violating the professional boundaries of this policy by crossing from economic celebration into political campaigning or ideological promotion may, in Menteeo's sole discretion, result in permanent account termination.

15. Professional Boundary, Platform Scope & Eligibility

Menteeo is a workspace dedicated strictly to standard corporate growth, traditional professional advisory, and startup entrepreneurship. Individuals actively involved, employed, or operating within the adult entertainment industry are explicitly ineligible to create or maintain mentor or mentee profiles on this platform. This restriction applies equally to both roles and ensures our network remains tightly focused on the core commercial industries served by our audience.

Menteeo is not a charitable giving platform. The solicitation, promotion, or facilitation of causes, charities, donations, crowdfunding, or fundraising campaigns (including but not limited to GoFundMe, Kickstarter, Patreon, or comparable platforms) is strictly prohibited. Using profiles, messaging, session bookings, or any platform feature to request or collect charitable contributions may, in Menteeo's sole discretion, result in account termination.

This restriction does not prohibit conventional corporate philanthropy or business fundraising. Mentees, mentors, and organizations or companies remain entirely free to review or engage with links to official corporate charities or philanthropic causes provided through an organization's profile. Furthermore, users are fully permitted to discuss, coach, advise on, or facilitate venture capital, seed capital, angel investments, private equity, and other conventional business financing or investment arrangements as part of professional mentorship.

16. Strict Anti-Profile Sharing Policy & Corporate Group Accounts

To maintain the highest level of trust and accountability, Menteeo enforces a strict anti-profile sharing policy. Individual mentor and mentee accounts are strictly single-user credentials; sharing a personal profile link, login data, or session slots with unverified third parties is prohibited and may result in account suspension. However, registered businesses, consulting agencies, and corporate entities are permitted to maintain multiple individual profiles under a shared company or corporate email domain. Each team member registers with their own email address on the verified corporate domain (e.g., name@yourfirm.com) and creates their own profile linked to that company. Multiple designated members of that corporate team may each operate their own profile, fulfill or attend advisory bookings, and represent the business, provided every profile shares the same verified corporate email domain.

17. Refund Policy

General Policy

All financial transactions processed through the Menteeo platform are final. Because mentors, advisory firms, organizations, companies, and other service providers dedicate specific cohorts, time slots, and preparation for each mentee or client, Menteeo generally operates on a no-refund policy for completed or active consulting terms, subject to the limited exceptions detailed below. This policy applies equally to individual mentees, corporate accounts, organizations, firms, and companies.

Standard Exceptions & Eligibility

Mentees (including individual members, corporate account holders, organizations, firms, and companies) may request a full or partial refund under the following strict conditions:

  • Mentor No-Show: If a mentor, advisory firm, organization, company, or any designated representative fails to attend a scheduled, recorded video conference session without 24-hour prior notice, the mentee or client is entitled to a full refund for that specific session or a prorated refund for that week.
  • Premature Termination: If a mentor, advisory firm, organization, or company terminates a long-term advisory contract early due to capacity limits or external constraints, the mentee or client will receive a prorated refund for all unused, pre-paid weeks or months.
  • Platform Security Removal: If a mentor, firm, organization, or company profile is removed from the platform due to a violation of our Terms of Service (e.g., industry non-compliance or solicitation violations), active mentees, clients, or cohort members in that group will be refunded for any unfulfilled services.

Monthly Subscription Cancellations

  • Billing Cycle: Subscription-based mentorship services bill automatically every thirty (30) calendar days.
  • Cancellation Timing: Mentees, corporate account holders, organizations, firms, and companies may cancel their subscription at any time through their account settings.
  • Access Period: Cancellations halt the next scheduled billing cycle. You will retain access to your mentor cohort for the remainder of your current paid period.
  • Subscription Refunds: No partial or prorated refunds are issued for mid-cycle cancellations unless the mentor, firm, organization, or company fails to deliver the minimum agreed-upon weekly touchpoints.

Out-of-Platform Transactions (Disclaimers)

Menteeo provides a secure checkout environment to protect your payments. This protection extends to individual members, corporate accounts, organizations, firms, and companies alike.

  • Voided Protection: Any payments made outside of the official Menteeo platform (including but not limited to Venmo, PayPal, Zelle, or direct bank transfers) completely void this Refund Policy.
  • Liability Release: To the maximum extent permitted by applicable law, Menteeo shall have no liability, offers no booking insurance, and cannot provide customer support or payment recovery for any off-platform financial transactions.

How to Submit a Claim

To open a refund request, you must submit a ticket to our Support Team within fourteen (14) calendar days of the disputed incident.

  • Required Evidence: You must provide the session date, the mentor's (or firm/organization/company) profile name, and a brief description of the issue.
  • Verification: Menteeo will review the natively recorded video session logs and platform messaging data to verify the claim. Decisions made by Menteeo compliance officers are final.
18. Firearm Industry and Regulated Commerce Restrictions

Menteeo supports professional business advisory and operational mentorship across all lawful commercial sectors. Legitimate, federally licensed firearm manufacturers, defense contractors, and specialized industry consulting firms are fully permitted to maintain corporate profiles to engage in B2B operational networking, discuss regulatory compliance, and share high-level organizational milestones.

However, Menteeo strictly prohibits the use of its platform for the advertising, sale, trade, or transaction facilitation of firearms, ammunition, explosives, weapon components, or tactical modifications. Specifically, profiles and messaging systems may not be used to:

  • Publish direct-to-purchase links or pricing information for lethal weapons.
  • Host promotional product showcases, inventory dumps, or consumer-facing sales deals.
  • Facilitate private, peer-to-peer weapons matching, buying, or selling.

Failure to adhere to these transactional restrictions may result in removal of the prohibited content and, in Menteeo's sole discretion, may lead to account suspension or termination.

19. Cannabis, Alcohol, and Regulated Industry Restrictions

Menteeo welcomes legitimate, state-licensed operators, compliance specialists, and advisory professionals within the cannabis, hemp, and alcohol industries to network, share business milestones, and provide corporate advisory.

However, Menteeo strictly prohibits the use of its platform for the advertisement, sale, distribution, or transaction facilitation of cannabis, THC-infused products, or alcoholic beverages. Specifically, profiles and messaging systems may not be used to:

  • Publish consumer-facing product menus, price lists, inventory updates, or promotional discounts.
  • Distribute links to online ordering platforms, dispensaries, direct-to-consumer storefronts, or delivery apps.
  • Facilitate or coordinate private, peer-to-peer commerce or product exchanges.

All discussions and content must remain strictly focused on professional, legal, operational, and organizational growth frameworks. Violations may result in content removal and account review.

19A. Tobacco, Nicotine, Vaping, and E-Cigarette Restrictions

Menteeo welcomes legitimate, licensed operators, compliance specialists, and advisory professionals within the tobacco, nicotine, and vapor product industries to network, share business milestones, and provide corporate advisory.

However, Menteeo strictly prohibits the use of its platform for the advertisement, sale, distribution, or transaction facilitation of cigarettes, cigars, chewing tobacco, vaping products, e-cigarettes, e-liquids, nicotine pods, heated tobacco products, or related accessories. Specifically, profiles and messaging systems may not be used to:

  • Publish consumer-facing product menus, price lists, flavor catalogs, inventory updates, or promotional discounts.
  • Distribute links to online ordering platforms, vape shops, direct-to-consumer storefronts, or delivery apps.
  • Facilitate or coordinate private, peer-to-peer commerce or product exchanges, including samples, giveaways, or age-restricted promotions.
  • Market to or recruit minors, or use imagery, branding, or messaging likely to appeal to underage users.

All discussions and content must remain strictly focused on professional, legal, operational, regulatory, and organizational growth frameworks. Violations may result in content removal, account review, and, in Menteeo's sole discretion, account suspension or termination.

20. Specialized Sector Restrictions and Master Liability Disclaimers

Menteeo is a professional networking and business strategic advisory platform. To maintain a safe, compliant environment, all Members, business profiles, and Mentors operating within highly regulated fields must strictly adhere to the sector-specific boundaries detailed below.

20.1 Healthcare and Clinical Operations (No Patient Care)

It is strictly prohibited to use Menteeo for the delivery of telemedicine, clinical diagnoses, medical treatments, or formal patient care advice. All healthcare professionals, clinical consultants, and medical advisors utilizing the platform do so exclusively to share operational business milestones, healthcare administration advice, and medical tech infrastructure insights.

No Doctor-Patient Relationship:

No content, advisory session, video room interaction, or message exchange on Menteeo creates a doctor-patient relationship.

Not Medical Advice:

Any healthcare-related insights shared on this platform are for educational and business operational purposes only. They must never be interpreted or relied upon as professional medical advice, diagnosis, or treatment.

20.2 Legal Counsel and Regulatory Compliance (No Attorney-Client Link)

It is strictly prohibited to use Menteeo for the delivery of formal legal representation, specific case evaluations, or the drafting of binding legal instruments for specific transactions. All attorneys, legal consultants, and corporate law advisors utilizing the platform do so exclusively to share high-level operational business insights, regulatory trends, and general legal framework education.

No Attorney-Client Relationship:

No content, advisory session, video room interaction, or message exchange on Menteeo creates an attorney-client relationship. Conversations are not protected by attorney-client privilege.

Jurisdictional Limits:

Users acknowledge that legal regulations vary heavily by jurisdiction. General advice shared on Menteeo may not apply to your specific local laws.

20.3 Financial, Accounting, and Investment Advisory (No Investment Tips)

Menteeo is for general business growth strategy only. No interactions, video rooms, or messages constitute formal financial planning, investment advising, or certified tax preparation. No content should be construed as an offer or solicitation to buy or sell securities, cryptocurrencies, or financial instruments. Users are entirely responsible for verifying all financial, tax, and accounting strategies with a retained, licensed professional outside of the platform.

20.4 Engineering, Software Architecture, and Infrastructure (No Safety Sign-offs)

Advice regarding software architecture, manufacturing, hardware engineering, or physical construction is strictly educational. Menteeo mentors do not provide certified engineering stamp approvals, formal code safety audits, or structural sign-offs. All technical implementations must be independently verified by the user's licensed engineering team.

20.5 Universal Business Outcomes (No Revenue Guarantees)

Menteeo does not guarantee financial success, revenue growth, funding acquisition, or specific business outcomes based on platform interactions. Mentorship and consulting are inherently subjective. Past performance, case studies, or revenue data displayed on corporate profiles do not guarantee future results for peers or clients. Menteeo disclaims all liability for business losses or bankruptcies resulting from actions taken based on platform information.

20.6 Pre-Existing Non-Disclosure Agreements (NDAs) and Confidentiality

Menteeo is a public-facing networking environment. Users are strictly prohibited from sharing, uploading, or discussing any proprietary data, trade secrets, insider information, or materials protected under third-party Non-Disclosure Agreements (NDAs), employment contracts, or non-compete clauses.

Prohibition on Use of Insider Information:

Members are strictly prohibited from using, sharing, or soliciting material non-public information ("insider information") obtained through Menteeo, or any interaction originating on the platform, for personal financial gain, investment decisions, or the financial benefit of any other member or third party. This includes, without limitation, trading securities, cryptocurrencies, or other financial instruments based on such information, or tipping others who may do so. Menteeo itself does not receive, use, or benefit from any insider information shared between members.

User Sole Liability:

If a user breaches a third-party confidentiality agreement by sharing information on Menteeo, or violates applicable securities laws by misusing insider information, that user assumes sole legal and financial liability.

No Platform Policing:

Menteeo does not review, enforce, or mediate external, private NDAs between users or third parties, nor does Menteeo monitor or police the exchange of information for insider trading compliance.

20.7 Intellectual Property, Copyrights, and Trademarks

Users retain ownership of the original content they create and share on Menteeo. However, users are strictly prohibited from uploading, displaying, or distributing materials that infringe upon the copyrights, trademarks, patents, or intellectual property rights of any other individual or corporate entity.

Independent Innovation:

Mentorship sessions involve the open exchange of general business concepts. Menteeo does not guarantee the confidentiality of ideas spoken or messaged on the platform. Users are entirely responsible for legally protecting their own inventions, brand assets, and proprietary code before sharing them in peer sessions.

DMCA Compliance:

Menteeo operates a notice-and-takedown policy for reported copyright and trademark infringements. Infringing material may be removed, and repeat offenders may, in Menteeo's sole discretion, face permanent account termination.

20.8 Profile Accuracy, Credential Verification, and User Vetting

Menteeo requires total honesty across our ecosystem. All individual peers, mentors, businesses, agencies, and consulting organizations must present accurate, truthful, and up-to-date information regarding their licenses, education, past employment, revenue metrics, and professional credentials.

Prohibition on Falsification:

Fabricating credentials, misrepresenting professional experience, or presenting a business under false pretenses constitutes fraud. Menteeo prohibits misleading profiles. Verified instances of falsified credentials may, in Menteeo's sole discretion, result in permanent account termination.

No Platform Liability (Your Job to Vet):

While Menteeo reserves the right to audit profiles and request proof of certification, Menteeo does not background-check, verify, or guarantee the credentials, identities, or claims made by any user or organization.

Assumption of Risk:

It is the sole responsibility of the user to independently interview, background-check, vet, and verify the credentials of any peer, mentor, or business before booking a session, exchanging funds, or sharing information. To the fullest extent permitted by applicable law, Menteeo disclaims all liability for damages, financial losses, or operational failures resulting from relying on unverified user profiles.

21. Recruitment Activity by Members and Ban on "Ghost Opportunities"

Menteeo is a professional networking, mentorship, and advisory platform, not a recruiting platform, staffing agency, or job board. Menteeo does not provide recruitment tools, a recruiter dashboard, candidate search filters, or any feature designed specifically for sourcing or hiring. Menteeo does not host public job postings, career listings, or external application portals, and the public publication of job advertisements, open employment vacancies, or external application links across profile fields, feeds, and group rooms is strictly prohibited.

Menteeo does not endorse, facilitate, or profit from any recruitment activity. Any recruiter, talent acquisition professional, or hiring organization who joins Menteeo does so as a general member of the networking community — not as a recruiter on a recruitment platform. If, in the course of ordinary professional networking, a member happens to discuss a genuine employment opportunity privately and directly with another member, that interaction is a personal exchange between those two members, not a service of Menteeo. Members who engage in such outreach must adhere to the integrity standards below.

21.1 Absolute Prohibition of "Ghost Opportunities"

The use of fake, speculative, inactive, or non-existent employment opportunities, whether communicated privately or publicly, is strictly prohibited. Members are expressly forbidden from using the platform to:

  • Reference or imply positions where there is no immediate intent, approved budget, or open vacancy to hire a candidate within ninety (90) days.
  • Utilize outreach about opportunities solely to accumulate a passive resume pipeline, harvest data, gauge market interest, or project false indicators of organizational growth.
  • Falsify role details, including remote availability, compensation brackets, required experience tiers, or employment status.

Menteeo does not facilitate, verify, endorse, or police hiring of any kind. Any employment opportunity discussed between members is a private, off-platform exchange solely between those members. Menteeo assumes no liability for the accuracy, legitimacy, or outcome of any such opportunity, and enforcing the integrity of hiring decisions is the sole responsibility of the parties involved, not Menteeo. The prohibitions in this Section 21.1 address platform-integrity expectations only; a confirmed violation constitutes a material breach of these Terms and may result in account termination under Section 21.4.

21.2 Prohibition of Deceptive Outreach

Recruiters are strictly prohibited from messaging users with speculative or non-existent opportunities ("Ghost Positions") to harvest resumes, collect private contact data, or build generic pipelines under false pretenses.

21.3 No Bait-and-Switch Tactics

Using private messaging to bait users into non-paying roles, commission-only structures disguised as salaried positions, or multi-level marketing (MLM) schemes is strictly forbidden.

21.4 Enforcement and Platform Offboarding

Menteeo reserves the right to review recruiter activity on the platform for compliance with these terms. Menteeo does not supervise, verify, or enforce any member's actual hiring decisions — that is the sole responsibility of the parties involved. However, any organization or individual found using the platform to engage in deceptive recruiting, ghost opportunities, or intentionally misleading members may, in Menteeo's sole discretion, be permanently banned from Menteeo.

22. Menteeo Is Not a Recruiting or Job Placement Agency

Menteeo is an independent professional networking, mentorship, and advisory platform. Menteeo is not a recruiting agency, staffing firm, headhunter, or job placement service, and does not verify, endorse, or guarantee the legitimacy of any employment opportunity discussed between members.

Recruiters and hiring organizations may join and participate in the network as members for the purpose of professional networking, direct talent sourcing, and relationship-building. Any recruitment activity conducted on Menteeo is a private, direct interaction between members — not a service provided, facilitated, or vetted by Menteeo.

22.1 No Public Job Listings

Menteeo does not offer a public job board, career portal, or application submission system. All recruitment-related communication must occur through private, direct outreach between members, and no job advertisements, vacancy postings, or external application links may be published in profiles, feeds, groups, or any public-facing area of the platform.

22.2 No Verification, Auditing, or Involvement by Menteeo

Menteeo does not audit, verify, investigate, or otherwise review any member's hiring intent, recruitment activity, or the legitimacy of any employment opportunity discussed on the platform. Menteeo has no role in, and assumes no responsibility for, any recruitment or hiring that may occur between members. Any recruitment or hiring is conducted entirely off-platform and is the sole responsibility of the parties involved. To the fullest extent permitted by applicable law, Menteeo disclaims all liability arising from, or related to, any such activity.

22.3 Assumption of Risk

Members who choose to discuss employment opportunities with other members do so entirely at their own discretion and risk. Menteeo does not background-check, verify, endorse, or guarantee the credentials, claims, or opportunities presented by any member, recruiter, or hiring organization. It is the sole responsibility of each member to independently vet any opportunity and the other party before sharing information or entering into any employment relationship. To the fullest extent permitted by applicable law, Menteeo assumes no liability for outcomes resulting from such off-platform interactions.

22.4 Encouragement of Growth; No Guarantee of Outcomes

Menteeo encourages members to foster career, professional, and personal growth among one another through authentic networking, mentorship, and knowledge-sharing. However, Menteeo does not guarantee any specific outcome — including employment, career advancement, business deals, funding, revenue growth, or professional placement — resulting from interactions on the platform. Any growth, opportunity, or result arises solely from the efforts and circumstances of the members involved. To the fullest extent permitted by applicable law, Menteeo assumes no liability for any outcome, or lack thereof, arising from member interactions.

22.5 No Responsibility for Off-Platform Activities; No Background Checks

To the fullest extent permitted by applicable law, Menteeo is not responsible for any activities, communications, transactions, or interactions that occur between members off the platform, including but not limited to in-person meetings, private communications, financial transactions, business partnerships, or any other relationship or activity that originates on but continues outside of Menteeo. Such off-platform activities are solely between the members involved, and, to the fullest extent permitted by applicable law, Menteeo assumes no liability for any loss, damage, injury, or harm arising from them.

Menteeo does not conduct background checks, criminal record checks, identity verification, or any form of criminal history screening on its members. Menteeo does not investigate, monitor, or police members' off-platform conduct. Members interact entirely at their own risk, and it is each member's sole responsibility to independently vet, verify, and assess any other member before engaging in any off-platform activity, meeting, transaction, or relationship. To the fullest extent permitted by applicable law, Menteeo disclaims all liability for the conduct, actions, or omissions of any member, whether on or off the platform, including any criminal activity.

23. Binding Arbitration and Class Action Waiver

23.1 Binding Arbitration

Except for disputes that may be brought in small claims court, you and Menteeo agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved by binding arbitration on an individual basis, rather than in court, and that you waive any right to participate in a class action lawsuit or class-wide arbitration.

23.2 Class Action Waiver

You and Menteeo agree that each may bring claims against the other only on an individual basis, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. All arbitrations shall be conducted on an individual basis, and no arbitration shall be joined or consolidated with any other arbitration.

23.3 Governing Rules

The arbitration shall be governed by the Federal Arbitration Act and conducted in accordance with the rules of the American Arbitration Association then in effect. The arbitrator's award shall be final and binding, and judgment may be entered upon it in any court of competent jurisdiction. The prevailing party in any arbitration shall be entitled to recover its reasonable attorneys' fees and costs, to the extent permitted by applicable law.

23.4 Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to Menteeo within thirty (30) days of first accepting these Terms. If you do not opt out, this arbitration provision shall apply to all disputes.

24. Electronic Communications and E-Sign Consent

By using the Platform, you consent to receive communications from Menteeo electronically, including via email, in-app notifications, and other electronic means. You agree that any electronic notice, agreement, disclosure, or other communication sent to you electronically satisfies any legal requirement that such communication be in writing. Your electronic acceptance of these Terms, including by clicking an "I agree" button, checking a box, or typing your name, constitutes your legally binding electronic signature and your consent to be bound by these Terms, to the fullest extent permitted by applicable law.

25. Termination and Survival

Menteeo may, in its sole discretion, suspend or terminate your account, restrict access to the Platform, or remove any User Content at any time, with or without cause and with or without notice. Upon termination, all licenses granted to you under these Terms shall immediately cease.

Survival

The following provisions shall survive any termination or expiration of these Terms or your account: indemnification, assumption of risk, limitations of liability, warranty disclaimers, intellectual property rights, dispute resolution and arbitration, confidentiality, and any other provisions that by their nature should survive termination.

26. Age Requirements

You must be at least eighteen (18) years of age to create an account or use the Platform. By registering, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. Minors are strictly prohibited from creating accounts or using the Platform. Any account found to be operated by a minor may be terminated immediately in Menteeo's sole discretion.

27. International Users, Export Compliance, and OFAC/Sanctions

27.1 Export Compliance

The Platform is controlled and operated from the United States. Users accessing the Platform from outside the United States do so on their own initiative and are responsible for compliance with all applicable local laws, including but not limited to U.S. export control laws and regulations. You may not use the Platform if you are located in, or a citizen or resident of, a country subject to a U.S. government embargo or that has been designated by the U.S. government as a "terrorist supporting" country.

27.2 OFAC and Sanctions Prohibition

You represent and warrant that you are not (a) listed on any U.S. government list of prohibited or restricted parties, including but not limited to the Specially Designated Nationals (SDN) List maintained by the Office of Foreign Assets Control (OFAC), or the Denied Persons, Entity, or Unverified Lists maintained by the Bureau of Industry and Security; (b) owned or controlled by, or acting on behalf of, any sanctioned person or entity; or (c) located in, ordinarily resident in, or organized under the laws of any comprehensively sanctioned jurisdiction. You may not use the Platform if you are subject to any U.S. or international sanctions program.

28. Force Majeure

Menteeo shall not be liable for any delay, failure, or interruption in the operation of the Platform arising out of or relating to events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, civil unrest, governmental actions, labor disputes, power outages, cloud or infrastructure failures, internet disruptions, cyberattacks, ransomware, hacking, or other malicious activity. Menteeo may suspend or discontinue the Platform during any force majeure event without liability.

29. Service Availability and Beta Features

29.1 No Uptime Guarantee

The Platform may be unavailable, interrupted, slowed, or modified at any time without notice, and Menteeo does not guarantee that the Platform will be error-free, secure, continuously available, or compatible with all devices or browsers.

29.2 Beta Features

Menteeo may offer experimental, beta, or pre-release features. To the fullest extent permitted by applicable law, such features are provided "as is" without any warranties, may be modified or discontinued at any time without notice, and may contain errors or inaccuracies.

30. User-Generated Content License

You retain ownership of all User Content you create and submit to the Platform. By submitting User Content, you hereby grant Menteeo a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, use, display, reproduce, modify, adapt, publish, translate, distribute, and otherwise make available such User Content as necessary to operate, maintain, and improve the Platform and Services. You represent and warrant that you possess all rights necessary to submit your User Content and that doing so does not violate the rights of any third party.

31. DMCA Safe Harbor Procedure

Menteeo respects the intellectual property rights of others and operates a notice-and-takedown procedure in accordance with the Digital Millennium Copyright Act (DMCA). If you believe that any User Content on the Platform infringes your copyright, you may submit a takedown request to Menteeo's designated copyright agent at the contact information provided below.

31.1 Notice Requirements

A valid DMCA notice must include: (a) a physical or electronic signature of the copyright owner or an authorized agent; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the allegedly infringing material and its location on the Platform; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner.

31.2 Counter-Notification

If your User Content was removed and you believe it was removed in error, you may submit a counter-notification with the required information under the DMCA. Upon receipt of a valid counter-notification, Menteeo may restore the removed material unless the original complainant files a court action within ten (10) business days.

31.3 Repeat Infringer Policy

Menteeo maintains a policy of terminating, in appropriate circumstances, the accounts of users who are determined to be repeat infringers of intellectual property rights.

31.4 Designated Copyright Agent

DMCA notices may be sent to Menteeo's designated copyright agent. Please contact Menteeo Support through the Platform for current agent contact information.

32. Privacy Policy and Cookie Consent Incorporation

Menteeo's Privacy Policy, available on the Platform, is hereby incorporated into these Terms by reference. Your use of the Platform is also governed by the Privacy Policy, which describes how Menteeo collects, uses, and protects your information. By using the Platform, you consent to the data practices described in the Privacy Policy.

Cookie Consent

Menteeo uses cookies and similar tracking technologies as described in the Privacy Policy. By using the Platform, you consent to the use of cookies and similar technologies in accordance with the Privacy Policy and applicable law.

33. Taxes

You are solely responsible for determining and paying all taxes, including sales tax, value-added tax (VAT), goods and services tax (GST), income tax, and any other taxes applicable to your use of the Platform or your transactions with other members. Menteeo does not provide tax advice, and you should consult a qualified tax professional regarding your tax obligations. If Menteeo is required to collect taxes on transactions, such taxes will be added to the applicable charges.

34. Chargebacks and Payment Disputes

If you initiate a chargeback, payment dispute, or reversal of a legitimate transaction without a good-faith basis, Menteeo may, in its sole discretion, suspend or terminate your account, withhold payouts, and recover any amounts owed. You agree to attempt to resolve any payment dispute directly with Menteeo before initiating a chargeback with your bank or payment processor.

35. Subscription Price Changes and Platform Fees

35.1 Price Changes

Menteeo reserves the right to change its subscription pricing, fees, or any other charges at any time. Any price changes will apply prospectively and will be communicated to you with reasonable notice before the next billing cycle. Your continued use of the Platform or failure to cancel your subscription after a price change notice constitutes your acceptance of the new pricing.

35.2 Platform Fees

Menteeo may charge fees for certain Services or features. Fees are described at the time of purchase. Menteeo may modify its fee structure at any time, and your continued use of the affected Services after any fee change constitutes your acceptance of the updated fees.

36. Assignment

You may not assign, transfer, or sublicense these Terms or your account without Menteeo's prior written consent. Any attempted assignment without such consent is void. Menteeo may freely assign or transfer these Terms, in whole or in part, without notice or consent, including in connection with a merger, acquisition, reorganization, or sale of all or a portion of its assets.

37. Entire Agreement, Severability, and Waiver

37.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies or agreements incorporated by reference, constitute the entire and complete agreement between you and Menteeo regarding your use of the Platform and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral.

37.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

The failure of Menteeo to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision or of any other right or provision. No waiver shall be effective unless in writing and signed by an authorized representative of Menteeo.

Headings are for convenience only and do not affect the interpretation of these Terms. The word "including" means "including without limitation." References to a statute include the rules and regulations promulgated under that statute.

These Terms may be translated into languages other than English for convenience. In the event of any conflict between the English version and a translated version, the English version shall control and prevail to the fullest extent permitted by applicable law.

39. Statute of Limitations

To the fullest extent permitted by applicable law, you agree that any claim or cause of action arising out of or relating to these Terms or your use of the Platform must be filed within one (1) year after such claim or cause of action arose, or it shall be permanently barred.

40. No Agency, No Third-Party Beneficiaries, and Reservation of Rights

40.1 No Agency

No joint venture, partnership, employment, franchise, or agency relationship is created between you and Menteeo as a result of these Terms or your use of the Platform. Menteeo and you are independent contractors.

40.2 No Third-Party Beneficiaries

Except as otherwise expressly stated, these Terms are for the benefit of you and Menteeo only. No third party, including any other Member, obtains any rights or benefits under these Terms.

40.3 Reservation of Rights

All rights not expressly granted to you in these Terms are reserved by Menteeo. No license or other right is granted by implication, estoppel, or otherwise.

41. Feedback License

If you submit any ideas, suggestions, improvements, or feedback to Menteeo regarding the Platform or Services, you grant Menteeo a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, implement, exploit, and commercialize such feedback without any obligation of attribution or compensation to you.

42. AI Disclaimer, Recording Consent, and Generative AI Content

42.1 AI Disclaimer

The Platform may offer or display content, summaries, briefings, or suggestions generated by artificial intelligence or automated systems. To the fullest extent permitted by applicable law, Menteeo disclaims all warranties regarding the accuracy, completeness, reliability, or appropriateness of any AI-generated content. AI-generated content is provided for informational purposes only and must be independently verified before reliance. You are solely responsible for any decisions made based on AI-generated content.

42.2 Recording Consent

Menteeo may record, or permit Mentors to record, video sessions for quality, security, dispute resolution, and compliance purposes. By participating in any recorded session, you consent to such recording and to Menteeo's use, storage, and retention of recordings as described in the Privacy Policy and applicable law.

42.3 Generative AI Content

If you upload, post, or submit any content generated by artificial intelligence, you represent and warrant that you possess all necessary rights, licenses, and permissions to do so, and that such content does not infringe upon the rights of any third party.

43. Marketplace Payment Compliance and Identity Verification

43.1 Payment Processing

Payments processed through the Platform are handled by third-party payment processors, including Stripe. Menteeo is not a bank or financial institution. Payment processing is subject to the terms of the applicable payment processor, which may require identity verification, KYC (Know Your Customer) procedures, and AML (Anti-Money Laundering) compliance. You agree to provide accurate information to payment processors and comply with their terms.

43.2 Identity Verification

Menteeo reserves the right, in its sole discretion, to request identity verification, business verification, or additional documentation from any member at any time. Failure to provide requested verification may result in account suspension, withholding of payouts, or termination.

44. Platform Investigations, Emergency Disclosure, and Fraud Prevention

44.1 Platform Investigations

Menteeo reserves the right to investigate any suspected violation of these Terms, misuse of the Platform, or misconduct by any member. Menteeo may cooperate with law enforcement, regulatory authorities, or court orders in connection with such investigations.

44.2 Emergency Disclosure

Menteeo reserves the right to disclose any information, including User Content and account data, to protect the safety, rights, or property of Menteeo, its users, or the public, or to comply with legal obligations, subpoenas, court orders, or government requests.

44.3 Fraud Prevention

Menteeo reserves the right to monitor for suspicious activity. Suspicious activity may result in account holds, delayed payouts, restricted features, or account termination, in Menteeo's sole discretion.

44.4 Accessibility to Law Enforcement

Menteeo reserves the right to preserve evidence, logs, and records related to Platform activity, and to cooperate with legal investigations and law enforcement requests to the extent required or permitted by applicable law.

45. Business Continuity, No Fiduciary Duty, and No Warranty of Mentor Availability

45.1 Business Continuity

Menteeo reserves the right to modify, suspend, discontinue, or retire any product, Service, feature, or business line at any time, with or without notice, without liability to you or any third party.

45.2 No Fiduciary Duty

To the fullest extent permitted by applicable law, Menteeo owes no fiduciary duties to you. Nothing in these Terms creates any fiduciary, advisory, or trustee relationship between Menteeo and any member.

45.3 No Warranty of Mentor Availability

Mentors are independent members who may leave the Platform, decline sessions, or become unavailable at any time. Menteeo does not guarantee that any particular Mentor will remain available or that any session will be completed.

46. Marketplace Nature, Compliance with Local Laws, and Additional Disclaimers

46.1 Marketplace Nature

Menteeo is solely a technology platform that enables connections and communications between Members. Menteeo is not a party to any agreement, transaction, or relationship between Members, and to the fullest extent permitted by applicable law, Menteeo disclaims all liability arising from such agreements, transactions, or relationships.

46.2 Compliance with Local Laws

You are responsible for complying with all laws applicable to your use of the Platform and your interactions with other Members, including but not limited to local, state, national, and international laws.

46.3 Accessibility Statement

Menteeo strives to improve the accessibility of the Platform. However, to the fullest extent permitted by applicable law, Menteeo does not guarantee that the Platform will be compatible with all devices, browsers, or assistive technologies at all times.

46.4 Security Disclaimer

To the fullest extent permitted by applicable law, Menteeo does not guarantee that the Platform will be completely secure. No system can guarantee complete security despite reasonable safeguards implemented by Menteeo.

46.5 Data Loss Disclaimer

You are solely responsible for maintaining backups of your User Content. Menteeo is not responsible for any loss or corruption of User Content stored on or transmitted through the Platform.

46.6 No Professional Licensing Verification

To the fullest extent permitted by applicable law, Menteeo does not verify, guarantee, or warrant any government licensing status, professional certification, or regulatory compliance of any Member, Mentor, or Organization. Members must independently verify all licensing and certification claims.

46.7 Platform Analytics

Menteeo reserves the right to collect, analyze, and use anonymized or aggregated usage analytics and metadata related to Platform activity for product improvement, security, research, and other legitimate business purposes.

47. Corporate Accounts, API Terms, and Automated Accounts

47.1 Corporate Accounts

For Organization or corporate accounts, the administrator who registers the account is responsible for all users operating under that account, including their compliance with these Terms. The Organization is responsible for managing access, permissions, and conduct of its designated team members.

47.2 API Terms

If Menteeo makes any application programming interface (API) available, you may use the API only as expressly authorized. You may not scrape, reverse engineer, make excessive automated requests, share API credentials, or use the API in a manner that disrupts or burdens the Platform. Menteeo may modify or revoke API access at any time.

47.3 Automated Accounts

Automated accounts, bots, scripts, or similar automated means of accessing the Platform are strictly prohibited unless expressly authorized by Menteeo in writing. Menteeo may terminate any unauthorized automated account immediately.
